These Terms of Service govern your access to and use of the EMA Telemed Inc. website, software, platform, applications, and related services, including any telehealth, remote patient monitoring, vital sign transmission, reporting, billing, or related technology services we provide.
By accessing or using our services, you agree to these Terms. If you do not agree, you may not use our services.
1. Company Information
EMA Telemed Inc. is a telehealth technology company that provides software and related services for the collection, transmission, review, storage, and reporting of patient vital sign data and other related healthcare information.

2. Eligibility
You must be at least 18 years old and legally able to enter into an agreement to use our services. If you use our services on behalf of a company, healthcare facility, medical practice, or other organization, you represent that you have authority to bind that organization to these Terms.
3. Use of Services
You agree to use our services only for lawful purposes and in accordance with these Terms. You may not use our services to:
- Violate any law or regulation
- Interfere with the security or operation of the platform
- Attempt to access data or systems without authorization
- Copy, reverse engineer, resell, or misuse our software or technology
- Upload malware, harmful code, or misleading information
- Use the services in a way that harms EMA Telemed, our customers, patients, users, or partners
We may suspend or terminate access if we believe these Terms have been violated.
4. Healthcare and HIPAA
EMA Telemed provides technology services that may involve the transmission and storage of health-related data. We use administrative, technical, and physical safeguards designed to protect electronic protected health information, including encryption, access controls, secure transmission protocols, and data backup procedures.
Where required, EMA Telemed enters into Business Associate Agreements with covered entities or other business associates. Each customer is responsible for using the services in compliance with applicable healthcare laws, privacy rules, facility policies, professional obligations, and patient consent requirements.
EMA Telemed does not provide medical advice, diagnosis, or treatment. Healthcare providers and authorized clinical users remain responsible for all clinical decisions, patient care, documentation, and review of patient information.
5. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate account information and to promptly update it when necessary.
You must notify us immediately if you believe your account has been compromised or used without authorization.
6. Payments and Billing
You agree to pay all fees, subscription charges, platform fees, hub license fees, usage fees, interaction fees, setup fees, and other charges agreed to in your order form, invoice, subscription agreement, or other written agreement with EMA Telemed.
Unless otherwise agreed in writing:
- Fees are billed monthly
- Payments are due according to the invoice terms
- EMA Telemed may charge authorized payment methods, including credit card or ACH
- You authorize EMA Telemed to debit your approved payment method for amounts due
- Fees are non-refundable except as required by law or expressly stated in writing
- EMA Telemed may suspend service for unpaid balances
Prices and billing methods may be changed with notice, unless otherwise controlled by a separate written agreement.
7. Cancellation
You may cancel your subscription or service by contacting us at info@ematelemed.com or (866) 319-8311, unless a separate written agreement states otherwise.
Cancellation will take effect at the end of the current paid term. You remain responsible for any unpaid fees incurred before cancellation.
8. Intellectual Property
EMA Telemed owns or licenses all rights in our software, platform, website, designs, workflows, dashboards, data structures, content, trademarks, logos, documentation, and related technology.
You receive only a limited, non-exclusive, non-transferable, revocable right to use the services for your authorized internal business or healthcare operations. You may not copy, modify, distribute, sell, license, reverse engineer, or create competing products from our services without written permission.
9. Customer Data
You retain ownership of data you provide to EMA Telemed. EMA Telemed may process, transmit, store, back up, and use customer data as needed to provide, maintain, secure, improve, support, and document the services.
We may use de-identified, aggregated, or anonymized data for analytics, product improvement, reporting, security, and business purposes, provided such use does not identify patients, users, or customers unless otherwise permitted by law or agreement.
10. Feedback
If you provide suggestions, ideas, comments, or feedback about our services, you grant EMA Telemed the right to use that feedback without restriction or compensation.
11. Third-Party Services
Our services may connect with third-party platforms, devices, EHR systems, sensors, payment processors, hosting providers, communication tools, or other services. EMA Telemed is not responsible for third-party products, outages, policies, security failures, pricing, or performance.
Your use of third-party services may be subject to their own terms and policies.
12. Service Availability
We work to keep our services available and reliable, but we do not guarantee uninterrupted access. Services may be unavailable because of maintenance, updates, internet issues, third-party failures, security events, hardware issues, software bugs, or circumstances beyond our control.
We may modify, update, suspend, or discontinue any part of the services at any time.
13. Disclaimers
The services are provided “as is” and “as available.” To the fullest extent permitted by law, EMA Telemed disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, security, and non-infringement.
EMA Telemed does not guarantee medical outcomes, reimbursement results, uninterrupted EHR connectivity, device performance, sensor accuracy, patient compliance, or clinical decision-making.
Healthcare providers and authorized users are responsible for reviewing and verifying all information before relying on it.
14. Limitation of Liability
To the fullest extent permitted by law, EMA Telemed and its directors, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, loss of data, business interruption, or reputational harm.
EMA Telemed’s total liability for any claim will not exceed the amount paid to EMA Telemed by the customer during the six months before the claim arose, unless a separate written agreement states otherwise.
15. Indemnification
You agree to defend, indemnify, and hold harmless EMA Telemed, its officers, directors, employees, contractors, affiliates, and agents from claims, damages, losses, liabilities, costs, and expenses arising from:
- Your use or misuse of the services
- Your violation of these Terms
- Your violation of law
- Your data, content, instructions, or submissions
- Your failure to obtain required permissions, consents, or authorizations
- Your clinical, operational, billing, or compliance decisions
16. Termination
EMA Telemed may suspend or terminate access to the services if you violate these Terms, fail to pay amounts due, misuse the platform, create security or compliance risks, or use the services in a way that may harm EMA Telemed, patients, customers, partners, or third parties.
After termination, you must stop using the services. Provisions that by their nature should survive termination will remain in effect, including payment obligations, intellectual property, disclaimers, liability limits, indemnification, dispute resolution, and confidentiality-related obligations.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of [Insert Correct State], without regard to conflict of law rules.
Any dispute that cannot be resolved informally will be resolved by binding arbitration, unless prohibited by law or unless the claim involves intellectual property rights, unauthorized access, privacy violations, or injunctive relief. Arbitration will be conducted on an individual basis only. Class actions and representative actions are not permitted to the fullest extent allowed by law.
The location and rules of arbitration will be determined by the applicable written agreement or, if none exists, by applicable law and the arbitration provider’s rules.
18. Electronic Communications and Signatures
You agree that communications, notices, agreements, invoices, disclosures, and records may be provided electronically. You also agree that electronic signatures and electronic records have the same legal effect as paper documents and handwritten signatures.
19. Changes to These Terms
EMA Telemed may update these Terms from time to time. Updated Terms may be posted on our website, provided through the application, sent by email, or otherwise made available to users.
Continued use of the services after updated Terms are posted or provided means you accept the updated Terms.
20. Miscellaneous
These Terms, together with any applicable order form, invoice, Business Associate Agreement, subscription agreement, privacy policy, or written agreement, make up the agreement between you and EMA Telemed.
If any part of these Terms is found invalid or unenforceable, the remaining parts will continue in effect. EMA Telemed’s failure to enforce any provision does not waive our right to enforce it later.
